About the Job
To ensure compliance with corporate governance and statutory regulations, support board activities, and manage secretarial and legal responsibilities in accordance with the Companies Act, RBI Guidelines, SEBI regulations, and other applicable laws.Key Responsibilities:
A. Statutory Compliance & Governance:
1. Ensure compliance with the Companies Act, 2013, and the RBI Master Directions for NBFCs
2. Maintain statutory registers and records
3. File necessary forms, returns, and reports with ROC, RBI, and other regulatory authorities
4. Monitor compliance with SEBI (if applicable), FEMA, and other relevant laws
B. Board and Committee Support:
1. Organize and convene Board, Committee, and General Meetings
2. Draft notices, agendas, resolutions, and minutes
3. Ensure timely dissemination of board decisions and actions
C. RBI & Regulatory Compliance:
1. Ensure timely and accurate filing of periodic returns and reports with RBI
2. Monitor adherence to NBFC Prudential Norms and Governance requirements
3. Liaison with RBI and other regulatory bodies
D. Legal & Secretarial Matters:
1. Manage the company’s legal matters, including contracts, litigation, and arbitration
2. Draft and review legal documents, agreements, and MOUs
3. Provide legal support for financial transactions, mergers, and acquisitions
E. Record Keeping & Documentation:
1. Maintain updated records of licenses, agreements, and statutory documents
2. Ensure digital and physical safekeeping of secretarial records
F. Risk Management & Policy Implementation:
1. Assist in the development and implementation of internal policies and controls
2. Advise the management on corporate and regulatory risks
